Welcome to All Pro Shade Concepts (“All Pro,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, requests for estimates or consultations, and purchases of products or services from All Pro Shade Concepts.
By using our website, requesting a quote, scheduling an appointment, or purchasing products or services from us, you agree to these Terms, subject to any separate written proposal, contract, work order, or service agreement applicable to your project.
If you do not agree to these Terms, please do not use our website or services.
All Pro Shade Concepts is an Arizona shade solutions retailer, professional installer, and service provider.
Depending on the project, our services may include consultation, product selection, measurements, ordering and procurement, retail sales, professional installation, repair, replacement, and maintenance of exterior shade products and related components.
Many of the shade products and components sold or installed by All Pro Shade Concepts are manufactured by independent third-party manufacturers. For third-party manufactured products, All Pro acts as the seller, installer, and service provider and does not represent itself as the manufacturer of those products or components.
The applicable manufacturer may be identified in the customer’s proposal, product literature, warranty documentation, installation materials, or other project documentation.
Services and product availability may vary based on location, manufacturer availability, product specifications, materials, project requirements, and site conditions.
All Pro Shade Concepts works with third-party manufacturers and suppliers to provide shade products, components, fabrics, motors, controls, hardware, and related materials.
Product designs, specifications, materials, manufacturing methods, operating requirements, and manufacturer warranty terms are established by the applicable manufacturer and may change without notice.
All Pro may assist customers with product selection, product information, service questions, and manufacturer warranty claims as part of our customer service. Providing such assistance does not mean that All Pro manufactured the product or has assumed the manufacturer’s warranty obligations.
Where manufacturer documentation conflicts with general product information appearing on our website, the applicable manufacturer’s specifications and documentation will control with respect to the product itself.
Website information and general estimates are provided for informational and planning purposes.
Project-specific pricing, products, specifications, dimensions, scope of work, payment terms, warranty information, and other material terms will be contained in the applicable written estimate, proposal, contract, work order, or service agreement.
If a project-specific written agreement conflicts with these general website Terms, the project-specific written agreement will control with respect to that project.
Estimates may change if:
Project scope changes;
Product or material selections change;
Measurements or site conditions differ from information initially provided;
Unforeseen conditions are discovered;
Manufacturer or supplier pricing changes before an order is finalized; or
Additional work is requested or required.
Additional work may require written customer approval and additional charges.
Many exterior shade products are ordered or configured to meet the measurements, specifications, colors, operating preferences, and other requirements of an individual project.
Customers are responsible for reviewing and approving applicable selections identified in their proposal or order documentation before the order is finalized.
Once customized or special-order products have been ordered from a manufacturer or supplier, changes or cancellations may be limited and may result in additional charges, subject to the customer’s written agreement and applicable law.
Payment requirements, deposits, progress payments, and final payment terms will be identified in the applicable proposal, invoice, contract, or service agreement.
Deposits may be required before products are ordered or work is scheduled.
Failure to make payments when due may result in delays, rescheduling, suspension of work, collection activity, or other remedies permitted by the applicable agreement and law.
Customized, special-order, or manufacturer-ordered materials may be non-refundable once ordered to the extent stated in the applicable project agreement and permitted by law.
Nothing in these Terms eliminates or limits any cancellation, refund, or other consumer right that cannot legally be waived.
Installation and service dates are estimates unless expressly guaranteed in writing.
Scheduling may be affected by circumstances including manufacturer lead times, supply-chain delays, product availability, weather, site accessibility, permitting, customer-requested changes, labor availability, shipping delays, or circumstances outside All Pro’s reasonable control.
All Pro will make reasonable efforts to communicate material scheduling changes.
Customers agree to provide accurate and complete project information and to:
Provide safe and reasonable access to the property and work area;
Identify known concealed conditions, utilities, electrical lines, plumbing, structural issues, or other hazards that may affect the work;
Remove or protect furniture, decorations, vehicles, landscaping, and personal property located near the work area;
Obtain required homeowner association approvals unless All Pro expressly agrees otherwise in writing;
Cooperate with reasonable scheduling and installation requirements; and
Review and approve applicable product, color, fabric, motor, control, and configuration selections before ordering.
Permit responsibilities, when applicable, will be determined by the applicable project agreement and applicable law.
Certain products and components sold or installed by All Pro may include warranties issued by the applicable third-party manufacturer.
Manufacturer warranties are subject to the manufacturer’s terms, conditions, exclusions, claim procedures, and coverage periods.
All Pro may assist customers in communicating with a manufacturer or submitting a manufacturer warranty claim as a customer service convenience. Such assistance does not make All Pro the manufacturer or transfer the manufacturer’s warranty obligations to All Pro.
Any workmanship, installation, labor, or service warranty offered directly by All Pro will be separately identified in the applicable proposal, service agreement, warranty document, or other written documentation.
An All Pro workmanship or service warranty is separate from any product warranty provided by a third-party manufacturer.
Warranty coverage may be limited or excluded as stated in the applicable warranty documentation for conditions including misuse, abuse, lack of required maintenance, unauthorized alterations or repairs, abnormal operating conditions, accidents, severe weather, acts of nature, or normal wear and tear.
Nothing in these Terms is intended to exclude or limit warranties or consumer rights that cannot legally be excluded or limited.
Exterior shade products must be operated and maintained according to applicable manufacturer instructions and product limitations.
Retractable products may need to be retracted during high winds, severe storms, or other weather conditions. Motorized products, sensors, controls, fabrics, tracks, hardware, and other components may have manufacturer-specific operating and maintenance requirements.
Customers are responsible for reviewing and following applicable product instructions supplied with their system.
Cancellation and rescheduling terms applicable to a particular project will be stated in the applicable proposal, contract, or service agreement.
Nothing in these Terms waives any cancellation or rescission right provided by applicable federal, Arizona, or local law.
If applicable law provides a customer with a mandatory cancellation period or other non-waivable right, the applicable law will control notwithstanding any other provision of these Terms.
We make reasonable efforts to keep website content accurate and current. However, photographs, illustrations, product descriptions, dimensions, colors, specifications, features, and availability may change and are provided for general informational purposes.
Images may depict optional features, prior models, manufacturer-supplied materials, or installations with project-specific configurations.
Project-specific specifications and obligations are determined by the customer’s written proposal or agreement and applicable manufacturer documentation.
Website content, including All Pro Shade Concepts trademarks, logos, original text, graphics, photographs, videos, designs, and other materials, is owned by or licensed to All Pro Shade Concepts unless otherwise indicated.
Website content may not be copied, reproduced, distributed, modified, republished, or commercially used without authorization from the applicable rights holder.
Manufacturer names, trademarks, product names, photographs, and other intellectual property appearing on the website remain the property of their respective owners.
To the fullest extent permitted by applicable law, All Pro Shade Concepts will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from the use of this website or from products or services provided by All Pro.
To the fullest extent permitted by applicable law, any limitation of liability applicable to a particular project will also be subject to the terms of the applicable written proposal, contract, service agreement, warranty, and applicable law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
To the extent permitted by applicable law, users agree to indemnify and hold All Pro Shade Concepts harmless from third-party claims, damages, losses, or expenses arising from the user’s unlawful use of the website, violation of these Terms, infringement of another party’s rights, or intentional misuse of All Pro’s website or intellectual property.
This provision is not intended to require a customer to indemnify All Pro for liability that applicable law prohibits All Pro from transferring to another party.
All Pro will not be responsible for delays or inability to perform caused by circumstances outside its reasonable control, including severe weather, natural disasters, governmental actions, transportation disruptions, manufacturer or supplier delays, shortages, labor disruptions, utility interruptions, or similar events.
This provision does not affect rights or obligations that cannot legally be waived.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where federal law or another applicable law controls.
These website Terms provide general terms regarding use of our website and services.
Customers purchasing installation, repair, maintenance, or other project services may be required to enter into a separate written proposal, contract, work order, or service agreement containing project-specific terms.
The applicable signed project agreement will control with respect to project scope, specifications, pricing, payment schedules, completion estimates, change orders, warranties, cancellation rights, and other project-specific obligations.
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
We may revise these Terms periodically.
Updated Terms will apply prospectively beginning on the effective date shown on this page. Changes to these website Terms do not retroactively modify a previously signed project agreement unless the parties agree otherwise in writing.
